Offerings amended today
These are updates to existing offerings, and their totals are cumulative over the offering's entire life — not money raised on this day. Twenty were filed; the four largest, with the date each offering actually began:
| Issuer | Cumulative sold | Offering began |
|---|---|---|
| Blue Owl Real Estate Exchange | $119.5M | 2026-05-21 |
| Unrivaled, LLC | $106.3M | 2026-08-10 |
| DealerCue Automotive Corp. | $73.2M | 2026-08-13 |
| Tollpass, LLC | $31.9M | 2023-07-18 |
Tollpass is the clearest illustration of why these are kept apart: its $31.9M is three years of an open offering, not a raise reported today.
Filed late
Eighteen new offerings had a first sale more than 30 days before the filing. They are real rounds, reported late, and are not in today's totals:
| Issuer | Amount sold | Days between first sale and filing |
|---|---|---|
| WaterCo Industries, LLC | $327.5M | 148 |
| Virginia Small Bay 121 DST | $2.8M | 35 |
| Tavaci Technologies Inc. | $2.5M | 485 |
| Peachtree Hotel Partners LLC | $2.4M | 143 |
WaterCo's $327.5M would have been the day's second-largest number. Its first sale was in April.
Announced, nothing sold yet
Seven new offerings were filed reporting no sale yet. They are intentions, not raises, and carry no amount.
What the day looked like
California took $648.7M across 3 rounds — almost entirely Castelion — followed by Missouri ($73.2M, 1) and New Hampshire ($28.0M, 2). Thirteen of the 19 issuers said they were incorporated within the last five years, and none said otherwise; the other six left the field blank.
Only 4 of 19 disclosed a revenue range (21%). The rest answered "Decline to Disclose" or "Not Applicable". That is the normal state of this field and the reason it is reported as a coverage figure rather than used as a signal.
How this is built. Source: SEC Form D filings (https://www.sec.gov/edgar/search/). Form D is required of every US issuer selling securities under Regulation D, within 15 days of the first sale, so this is the filed record of private financing rather than a press-release round-up.
A "round" here is a NEW Form D (not an amendment) from an issuer that is not a pooled investment fund, reporting at least $500,000 actually sold, with a first sale within 30 days of the filing. Excluded and reported separately: pooled investment funds, amendments (whose totals are cumulative over the offering's life), offerings with nothing sold yet, and rounds filed more than 30 days after their first sale. Rounds are grouped by the issuer's own declared industry group rather than ranked against each other, because Form D's biggest numbers are often securitisation and real-estate vehicles rather than company financings.
Form D does not name investors, does not label rounds, and does not report valuations. Nothing here is any of those. Filing dates are not sale dates. Rubric funding-rounds/v1. Not investment advice.
